1.10.010 Effective date

Effective January 1st of each year commencing January 1, 2006, the board of directors of the West County Wastewater District (the “board”) shall calculate and establish by duly adopted ordinance the maximum legal compensation payable to each member of the board of directors (a “director”) for each day of his/her attendance at meetings of the board, or for each day of service rendered as a director by request of the board (the “maximum compensation”). 1.10.020 Calculation of compensation.

Each year, within 30 days after the effective date of the annual ordinance by which the board calculates and establishes the maximum compensation, each director shall notify the secretary to the board of directors in writing of the amount of compensation that such director elects to be paid for the ensuing year for each day of his/her attendance at meetings of the board, or for each day of service rendered as a director by request of the board (the “director's compensation”). The director's compensation shall be no less than zero dollars for each day of his/her attendance at meetings of the board, or for each day of service rendered as a director by request of the board, and no greater than the maximum compensation (the “compensation range”). In the event that a director fails to timely notify the secretary to the board of directors in writing of the director's compensation that such director elects to be paid for the ensuing year, then such director's compensation shall be $100.00 for each day of his/her attendance at meetings of the board, or for each day of service rendered as a director by request of the board of directors. Once the director's compensation is selected by a director or established by a director's failure to timely notify the secretary to the board of directors in writing of the director's compensation that such director elects to be paid for the ensuing year for each day of his/her attendance at meetings of the board, or for each day of service rendered as a director by request of the board, it can only be modified within 30 days after the effective date of the next annual ordinance by which the board calculates and establishes the maximum compensation. 1.10.030 Differing amounts.

As long as the director's compensation is within the compensation range, the directors may each be paid different amounts of compensation for each day of his/her attendance at meetings of the board, or for each day of service rendered as a director by request of the board. [Ord. 4-5-05 § 3]
