ATTORNEY-CLIENT PRIVILEGE GROUPS

2.15.010 Authority.

Cascade’s chief executive officer, in consultation with legal counsel, is delegated authority to establish, as he/she deems necessary, one or more attorney-client privilege groups that include individuals who will be involved in communications as part of their contractual duties with Cascade in order that Cascade may secure legal advice, who need to know the contents of the communications, and who will be instructed not to disseminate the communication beyond the listed group. Cascade’s chief executive officer shall document the establishment of any attorney-client privilege group listing the individual members, and may, in consultation with legal counsel, execute an agreement with the consultant firm with whom the listed individuals are employed. 2.15.020 Purpose – Limitation.

The creation of an attorney-client privilege group is for Cascade’s administrative convenience and for maintenance and preservation of Cascade’s attorney-client privilege; however, establishment of the attorney-client privilege group shall in no way be construed to abrogate the board’s supervisory authority or the authority of legal counsel to communicate with the board under the protection of the attorney-client privilege. Furthermore, the board does not intend by the adoption of the resolution codified in this chapter to limit the application of the attorney-client privilege to the attorney-client privilege group, and the board intends to claim the attorney-client privilege upon behalf of Cascade whenever the facts and the law establish that privilege, regardless of whether the individuals involved are members of the attorney-client privilege group.
