2.85.010 Designation of museum – To be a department of the city.

The name of the city museum shall be the Helper Museum.

The museum is hereby designated and shall be a department of the Helper City Corporation. [Ord. 2022-1 § 1; Ord. 2017-1. Code 1988 § 2-12-1].

2.85.020 Purpose of museum.

The purpose for which the museum is established and organized is as follows:

A. To preserve the history of the mining and railroad industries of the western United States.

B. To preserve the history of the peoples that influenced, were influenced by, worked in, lived with, and died in the industries.

C. To collect and display artifacts and exhibits relating to the mining and railroad industries.

D. To educate the public with respect to history of the mining and railroad industries and provide a research archive.

E. To augment the historic nature of Helper City. [Ord. 2017-1. Code 1988 § 2-12-2].

2.85.030 Museum board established.

To facilitate the purposes stated in HMC 2.85.020 there is hereby established a board to be known as the Helper Museum advisory board (“advisory board”). The museum board shall consist of no less than five and no more than nine members. Members will consist of the Helper City mayor or one member of the Helper City council to be designated by the mayor, and four to six additional members to be appointed by the mayor, with the advice and consent of the council, from among the residents of the city and/or surrounding area.

All members of the board shall serve without compensation except for reasonable expenses. [Ord. 2022-1 § 2; Ord. 2017-1. Code 1988 § 2-12-3].

2.85.040 Terms of office – Organization – Meetings.

A. The term of the mayor/council representative shall be as determined by action of the council. The terms of the appointive members shall be for two years and until their successors are appointed. Board members may be reappointed without limitation as to number of times so appointed. The terms of the appointive members shall commence on July 1st in the year in which they are appointed, so long as no more than half of the appointive board members’ terms shall expire in one calendar year.

B. The mayor/council representative shall be ex officio the chairman of the board. It shall be the duty of the chairman to preside over and conduct all meetings of the board. The chairman with the consent of the board shall make such assignments or delegations to the members of the board or the staff of the museum as is deemed necessary for carrying out the business of the museum.

C. A minimum of three members in attendance at a meeting of the board is required to constitute a quorum.

D. Meetings of the board shall be held monthly or at such other interval as shall be determined by the board to be appropriate for the conduct of the business of the museum. The date, time and place of meetings shall be as determined by action of the board. Meetings may also be held at the call of the chairman. Meetings may also be held at the request of three members, for the transaction of business as stated in the call for the meeting.

E. Any board member who misses three consecutive meetings, or misses more than half of the regularly scheduled meetings, within a 12-month period, or who consistently fails to participate in the work of the board without being excused by the chairman based upon good cause, may be subject to removal from the board. 2.85.050 Duties and powers.

The museum board shall have and exercise the following duties and powers:

A. The board shall advise on the activities and operations of the museum.

B. The board may solicit, apply for, or accept on the museum’s behalf, any money or property of any nature by way of gift, contribution, sale of merchandise, fundraising activity or any other source. The museum must comply with the state of Utah’s regulations regarding the acceptance of any funds as described. For fundraising activities or sale of merchandise, the board member may directly accept the money or property, but shall deliver it to Helper City Hall within 48 business hours from the time of collection. Any board member soliciting or applying for any money, property, gift, or contribution on the museum’s behalf shall direct the donor to send the money or property directly to Helper City Hall.

C. The board may prepare such rules and regulations as it deems reasonably necessary for the conduct of its affairs and the operation of the museum, provided, before taking effect, any such proposed rules or changes thereto shall be first submitted to and approved by the Helper City council.
